- You will not use another person’s account or payment method without permission; and

You are responsible for:

You are responsible for activity conducted through your account unless the activity resulted from a security failure directly caused by us.

The amount confirmed during checkout is the amount charged by Update Avenue, excluding additional charges imposed independently by your bank, card issuer, payment provider, customs authority, or government.
We may change prices at any time before an order is accepted.
Price changes will not normally affect an order that has already been accepted and paid, except where:
- The displayed price was clearly incorrect;
- A technical or currency-conversion error occurred;
- Fraud or unauthorised activity is suspected; or
- Applicable law requires a correction.
7. Taxes, Customs Duties, and Import Charges
Prices may or may not include applicable taxes depending on the destination and checkout configuration.
Customers purchasing internationally may be responsible for:

Update Avenue does not control charges imposed by foreign authorities.

We may cancel an order where a product cannot legally or practically be delivered to the selected destination.
8. Placing an Order
You may place an order through our website or mobile application.
Before submitting an order, you are responsible for reviewing:
- The products selected;
- Product variations;
- Quantity;
- Price;
- Currency;
- Delivery address;
- Billing information;
- Delivery method;
- Estimated delivery information; and
- Total amount payable.
Submitting an order is an offer to purchase the selected products.
An automated order confirmation acknowledges that we received your order. It does not always mean that the order has been finally accepted.
An order is accepted when we:
- Confirm acceptance;
- Begin processing the order;
- Dispatch the product; or
- Otherwise communicate that the order has been accepted.
9. Order Acceptance and Refusal
We reserve the right to refuse, limit, place on hold, or cancel an order where reasonably necessary.

Payment may be processed by an independent payment processor, financial institution, card network, bank-transfer provider, mobile-payment provider, or digital-wallet provider.

- You authorise the applicable charges.

A pending bank or card authorisation may remain visible temporarily even after an unsuccessful or cancelled transaction. The release time is controlled by your bank or payment provider.
12. Bank-Transfer Payments
Where bank transfer is available, you must:

- Use the correct account details;
- Use the required transaction reference;
- Complete payment before the account or payment request expires; and
- Avoid transferring funds after an order has been cancelled.
Orders paid by bank transfer may not be processed until payment is confirmed.
Transferring an incorrect amount or using an expired payment account may delay confirmation or require a refund.
We are not responsible for funds sent to incorrect account details entered or selected outside our official checkout process.
Always use payment instructions displayed directly by Update Avenue or its authorised payment provider.
13. Fraud Prevention and Verification
We may use manual or automated security checks to protect customers and our business.
We may request:
- Confirmation of your identity;
- Confirmation of your billing address;
- Proof that you authorised the payment;
- Additional order information;
- Confirmation from your payment provider; or
- Another reasonable verification step.
We may delay or cancel an order if verification is not completed.
Verification information will be handled according to our Privacy Policy.
14. Shipping and Delivery
We may ship products to locations supported by our delivery network.
Available delivery methods, estimated delivery times, and delivery fees will normally be displayed during checkout.
Shipping is not automatically free. Any applicable shipping charge will be displayed before you submit payment.
Free or discounted shipping applies only where expressly stated as part of a valid promotion.
Delivery estimates are estimates and are not guaranteed unless we expressly agree otherwise.
Delivery may be affected by:

15. Delivery Address
You are responsible for providing a complete and accurate delivery address.
Before submitting an order, check:
- Recipient name;
- Street address;
- Apartment, suite, or unit number;
- City;
- State or province;
- Postal code;
- Country;
- Telephone number; and
- Delivery instructions.
Contact us immediately if you notice an address error.
We cannot guarantee that an address can be changed after processing or dispatch begins.
You may be responsible for additional delivery costs caused by:
- An incorrect address;
- An incomplete address;
- Refusal of delivery;
- Failure to collect a package;
- Repeated unsuccessful delivery attempts; or
- Redirection requested after dispatch.
16. Delivery Confirmation and Risk of Loss
Delivery may be confirmed through:
- Courier tracking;
- Recipient signature;
- A delivery photograph;
- A collection scan;
- An access code;
- Confirmation from the courier; or
- Another recognised delivery record.
Risk of loss generally transfers to you when the product is delivered to:
- The delivery address;
- The named recipient;
- An authorised person;
- A reception desk;
- A parcel locker;
- A collection point; or
- Another delivery location you approved.
This section does not limit any non-waivable consumer rights.
17. Delayed or Missing Deliveries
If an order is delayed, check the tracking information and delivery notices before contacting us.
Report an apparently missing package promptly to:

We may investigate with the courier before issuing a replacement or refund.

18. Inspection After Delivery
Inspect your order promptly after delivery.
Contact us as soon as reasonably possible if:
- An item is missing;
- The wrong product was delivered;
- A product arrived damaged;
- The quantity is incorrect;
- The package appears tampered with; or
- The product materially differs from the order.
Include photographs or video where reasonably requested.
Do not discard the product, packaging, shipping label, accessories, or documentation until the issue has been resolved.
19. Returns
Eligible products may be returned according to our Refund and Return Policy.
Return eligibility may depend on:

- Whether packaging and accessories are complete;

Products sent to an unauthorised address may be delayed, refused, or lost.
20. Non-Returnable Products

- Opened hygiene-sensitive products;
- Used cosmetics or personal-care products;
- Underwear or intimate products where hygiene seals have been removed;
- Downloadable or delivered digital products;
- Gift cards;
- Products damaged through misuse;
- Products missing essential parts;
- Products marked final sale;
- Products prohibited from return for health or safety reasons; and
- Products outside the permitted return period.
A defective, damaged, misdescribed, or incorrect item may still qualify for a legal remedy despite a general non-returnable classification.
21. Condition of Returned Products
Unless an item is defective, damaged, incorrect, or otherwise protected by applicable law, returned products should generally be:
- Unused;
- Unwashed;
- Unworn;
- Unmodified;
- In resalable condition;
- In the original packaging where reasonably possible;
- Complete with accessories, manuals, tags, and promotional items; and
- Accompanied by proof of purchase.
We may reduce or refuse a discretionary refund where a product has been used or damaged beyond what was reasonably necessary to inspect it.
22. Return Shipping Costs
Responsibility for return shipping depends on the reason for return.
Update Avenue will generally cover reasonable approved return costs where:
- The wrong item was delivered;
- The item arrived materially damaged;
- The product was materially defective on delivery;
- The product materially differed from its description; or
- Applicable law requires us to do so.
For change-of-mind or customer-preference returns, you may be responsible for return shipping and related charges, subject to our Refund and Return Policy and applicable law.
Do not return products using cash-on-delivery shipping unless we expressly approve it.
23. Refunds
Approved refunds will generally be sent to the original payment method.
A refund may include:
- The product price;
- Applicable tax;
- Original shipping costs where required; and
- Other amounts required by applicable law.
Unless required by law, optional expedited-delivery charges may not be refundable.
Refund processing times vary by:
- Payment method;
- Card issuer;
- Bank;
- Payment provider;
- Currency;
- Country; and
- Fraud or dispute review.
After we process a refund, your financial institution may require additional time to display it.
We cannot normally send a refund to a different card, bank account, or person.
24. Exchanges
Exchanges may be offered where stock is available.
Where a direct exchange cannot be completed, we may:

- Provide store credit with your consent; or
- Ask you to place a new order.
Price differences, shipping charges, and taxes may apply to replacement products.

26. Chargebacks and Payment Disputes

You must not file a false, misleading, or abusive chargeback.
Where a chargeback is filed, we may provide relevant records to the payment provider, including:
- Order confirmation;
- Payment confirmation;
- Delivery tracking;
- Delivery evidence;
- Customer communications;
- Account activity;
- Refund records; and
- Acceptance of these Terms.
We may suspend account activity while a dispute is investigated.
Nothing in this section prevents you from exercising a lawful right to dispute an unauthorised or incorrect charge.
27. Promotions, Coupons, and Discount Codes
Promotions and discount codes may be subject to additional rules.
Unless expressly stated otherwise:
- Promotions cannot be exchanged for cash;
- Only one code may be used per order;
- Codes may have expiration dates;
- Codes may apply only to selected products;
- Minimum-order requirements may apply;
- Shipping and taxes may be excluded;
- Codes may be limited by country or customer;
- Codes may not apply to previous purchases;
- Codes may not be transferred or resold; and
- Promotions may be withdrawn where legally permitted.
We may cancel a promotion or order affected by fraud, misuse, a technical error, or unauthorised code distribution.
28. Gift Cards and Store Credit
Where offered, gift cards and store credits may be subject to separate terms.
Unless prohibited by law:
- They cannot be redeemed for cash;
- They cannot be used to buy another gift card;
- They should be protected like cash;
- Lost or stolen codes may not be replaceable;
- They may be restricted by country or currency; and
- Refunds for purchases made with store credit may be returned as store credit.
Any expiration date will comply with applicable law.
29. Product Reviews and User Content
You may be permitted to submit reviews, ratings, photographs, videos, questions, comments, or other content.
You confirm that content you submit:
- Is truthful and based on a genuine experience;
- Does not violate another person’s rights;
- Does not contain confidential information;
- Does not contain harmful software;
- Is not fraudulent, threatening, abusive, discriminatory, or unlawful;
- Does not include deceptive advertising;
- Does not contain payment details or passwords; and
- Complies with these Terms.
We may moderate or remove content that violates these Terms.
We will not suppress a genuine review merely because it is negative. The FTC has taken enforcement action against retailers accused of selectively hiding unfavourable reviews, so review moderation should be based on neutral rules such as fraud, abuse, irrelevance, or unlawful content—not star rating alone.
30. Licence to Use Submitted Content
You retain ownership of content you create.
By submitting content to Update Avenue, you grant us a worldwide, non-exclusive, royalty-free licence to:
- Host;
- Store;
- Display;
- Reproduce;
- Format;
- Translate;
- Moderate;
- Distribute; and
- Use the content to operate and promote our services.
This licence continues for as long as the content is reasonably needed for the purpose for which it was submitted, subject to applicable privacy and deletion rights.
You confirm that you have the right to grant this licence.
31. Prohibited Activities
You must not:
- Use the services for illegal purposes;
- Commit or attempt fraud;
- Submit false payment information;
- Use stolen payment methods;
- Interfere with checkout or payment systems;
- Scrape or extract data without permission;
- Reverse engineer the app;
- Introduce malware;
- Bypass security controls;
- Attempt unauthorised access;
- Overload our systems;
- Manipulate reviews or ratings;
- Abuse promotions;
- Place orders using automated tools without permission;
- Resell restricted products unlawfully;
- Harass staff, customers, couriers, or suppliers;
- Copy protected content without permission; or
- Use our brand to mislead others.
We may investigate prohibited activity and cooperate with payment providers, law-enforcement authorities, regulators, or affected parties where appropriate.
32. Intellectual Property
The Update Avenue website, app, brand, logo, design, text, graphics, software, product presentation, and original content are owned by or licensed to Update Avenues LLC.
They may be protected by copyright, trademark, trade-dress, database, and other intellectual-property laws.
You may use our services for personal shopping purposes.
You may not, without written permission:
- Copy or reproduce protected content;
- Use our logo or brand;
- Create a confusingly similar business;
- Resell website content;
- Modify or distribute our software;
- Frame or mirror our pages;
- Remove ownership notices; or
- Use our materials for unauthorised commercial purposes.
Third-party product names and trademarks belong to their respective owners.
33. Third-Party Services
Update Avenue may use or link to independent services, including:
- Payment processors;
- Delivery companies;
- Social-media platforms;
- Manufacturers;
- Suppliers;
- Analytics providers;
- Hosting services;
- Authentication services; and
- External websites.
We do not control independent third-party services.
Their terms and privacy policies may apply when you use them.
A link or integration does not necessarily mean that we endorse every statement, product, or practice of the third party.
34. App Store Terms
When you download the Update Avenue app through an app store, your use may also be subject to the store’s terms.
The app-store provider:
- Is not responsible for fulfilling your product orders;
- Is not responsible for customer support relating to physical products;
- Is not a party to sales made through Update Avenue unless expressly stated;
- May impose technical and account requirements; and
- May suspend access to the app under its own rules.
These Terms are between you and Update Avenues LLC, except where app-store terms provide otherwise.
35. Electronic Communications
By using our services, you agree that we may communicate electronically through:
- Email;
- SMS;
- Push notification;
- In-app message;
- Account notification; or
- Website notice.
Electronic communications satisfy any legal requirement that a communication be in writing, where permitted by law.
You are responsible for keeping your email address and telephone number current.
Transactional messages relating to orders, payments, security, refunds, or accounts may still be sent after you opt out of promotional marketing.
36. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
The Privacy Policy explains:
- What information we collect;
- Why we collect it;
- How it is used;
- Who may receive it;
- How long it may be retained;
- How account deletion works; and
- How privacy requests can be submitted.
By using our services, you acknowledge that you have had an opportunity to review the Privacy Policy.
37. Service Availability
We aim to keep the website and app available, but continuous or error-free operation is not guaranteed.
Services may be interrupted because of:
- Maintenance;
- Updates;
- Hosting issues;
- Internet outages;
- Cybersecurity incidents;
- Payment-provider failures;
- Courier-system problems;
- Software errors;
- Force majeure events; or
- Events outside our control.
We may modify, suspend, or discontinue a feature where reasonably necessary.
Where a material change affects a paid or accepted order, we will provide an appropriate remedy where required.
38. Suspension and Termination
We may restrict, suspend, or terminate an account where we reasonably believe:
- These Terms were violated;
- Fraud occurred or was attempted;
- A payment method was used without authorisation;
- The account presents a security risk;
- Promotions were abused;
- False claims were submitted;
- Another person’s rights were violated;
- The account was used unlawfully; or
- Suspension is required by law or a service provider.
Where appropriate, we may provide notice and an opportunity to contact support.
Termination does not remove obligations that arose before termination.
39. Disclaimers
To the maximum extent permitted by law:
- Our services are provided on an “as available” basis;
- Product availability is not guaranteed;
- Delivery estimates are not guarantees;
- We do not guarantee that every error will be corrected immediately;
- We do not guarantee uninterrupted access;
- Third-party services remain outside our direct control; and
- Product results may vary depending on use, environment, compatibility, or other factors.
Nothing in these Terms excludes an express product warranty or a non-waivable legal guarantee.
40. Limitation of Liability
To the maximum extent permitted by law, Update Avenues LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the services.
This may include:
- Lost profits;
- Lost business opportunities;
- Lost data;
- Reputational loss;
- Indirect delivery losses; or
- Loss caused by an independent third party.
Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability for:
- Fraud;
- Wilful misconduct;
- Gross negligence where it cannot legally be limited;
- Death or personal injury caused by negligence where exclusion is prohibited;
- Violation of non-waivable consumer rights; or
- Any liability that cannot legally be excluded.
41. Indemnification
To the maximum extent permitted by law, you agree to be responsible for reasonable losses, claims, and expenses resulting from:
- Your unlawful use of our services;
- Your violation of these Terms;
- Your infringement of another person’s rights;
- Fraud committed through your account; or
- Content you submit unlawfully.
This section does not require you to indemnify us for losses caused by our own unlawful conduct, negligence, or breach.
42. Consumer Rights
These Terms do not remove or reduce consumer rights that cannot legally be waived.
Depending on your location, you may have statutory rights concerning:

- Accurate descriptions;
- Delivery;
- Defective products;
- Refunds;
- Replacement;
- Repair;
- Cancellation; and
- Unfair contract terms.
Where these Terms conflict with a mandatory consumer-protection law, the mandatory law will apply.
43. International Customers
Update Avenue may accept orders from customers outside the United States.
International customers are responsible for:
- Confirming that products may legally be imported;
- Providing an accurate address;
- Paying applicable duties and taxes unless included;
- Complying with local laws;
- Checking voltage, plug, sizing, language, or compatibility requirements; and

44. Governing Law
These Terms are governed by the laws of the State of New Mexico and applicable United States federal law, without regard to conflict-of-law rules.
This governing-law provision does not remove any mandatory consumer protection available to you under the laws of your place of residence where those protections legally apply.
45. Informal Dispute Resolution
Before beginning formal legal proceedings, you and Update Avenue agree to make a reasonable effort to resolve the dispute informally.

To the extent legally permitted, disputes involving Update Avenues LLC may be handled by the appropriate state or federal courts located in New Mexico.
This section does not prevent a consumer from using a small-claims court or another forum available under mandatory consumer law.
47. Force Majeure
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including:
- Natural disasters;
- Severe weather;
- Fire;
- Flood;
- Epidemics or pandemics;
- War;
- Civil unrest;
- Government action;
- Sanctions;
- Customs delays;
- Labour disputes;
- Transportation failures;
- Courier disruption;
- Power failure;
- Internet failure;
- Cyberattacks;
- Supplier failure; or
- Infrastructure outages.
